Background 背景

被告:The defendant:
The Chinachem Group has been established in Hong Kong for more than 40 years. It is one of the leading Hong Kong based multi-national conglomerate. The Group is now a member of The Real Estate Developers Association of Hong Kong. The Group’s core business is land investment and property development, including finance, insurance, entertainment, Information Technology and retails. The Group is actively involved in property development which includes residential, commercial, industrial properties, shopping malls, car-parks and hotels. The Group so far has completed not less than 300 tower-blocks in Hong Kong, Kowloon and the New Territories. The Group has directly/indirectly employed more than four thousand staff with experience and skill of various trades.
Nina Wang (née Kung) or Kung Yu Sum (traditional Chinese: 龔如心; pinyin: G?ng Rúxīn) (29 September 1937[1] – 3 April 2007) was Asia's richest woman, with a recent estimated net worth of US$4.2 billion at the time of her death[2]. Wang was the widow of Hong Kong chemical magnate Teddy Wang (Wang Teh Huei, 王德輝), who disappeared in 1990 after a kidnapping.
集团由王德辉家族于1960年创办,早年由王德辉、龚如心夫妇携手经营,1990年王德辉失踪后由龚如心管理。
华懋集团发展的物业主要为住宅、写字楼、购物商场、工贸大厦及酒店等共超过300座,业务除地产外亦包括财务、保险、娱乐事业、资讯科技和零售等,员工超过4000人,华懋集团一直以来都没有在香港交易所上市。
华懋集团发展的物业价格较其他发展商的物业廉宜,但由于其位置、设计、用料及住客设备等未如理想,因此其升值能力亦不及其他发展商的物业。华懋集团早年低价在新界购入大量地皮,并积极收集乙种换地权益书,因此华懋兴建的物业主要分布于新界,如荃湾、沙田及屯门。
1988年,王德辉、龚如心夫妇筹备将华懋集团上市,但后来他们认为测计师对华懋拨作上市的物业估价不理想,便决定不上市[1]。
1994年,华懋集团宣布以100亿港元在荃湾杨屋道兴建楼高逾520米的全球最高建筑物如心广场,但因香港国际机场搬迁后荃湾位处主要航道,被政府限制其高度,结果要一分为二兴建,更因未能如期完成而被罚款5.6亿港元。最终,如心广场在2008年正式完工
亚洲第一女富豪、华懋集团主席龚如心于4月3日因病在香港逝世,享年70岁。
  龚如心被人形容为“60岁年龄,40岁外貌,20岁心境”的“小甜甜”,一生充满传奇,10年前即被评为亚洲最富有女人。据估计,持有华懋近90%股份的龚如心,个人财富约为200亿至400亿港币,被称为“亚洲最富有的女人”。

RE: Tenancy agreement June 20th 2007, Original agreement was from April 20th 2005
RE: 租約2007年6月20號, 原先達成的協議,從05年4月20號

Gross area 802 SF, at rate of HK$13/sf plus mgt aircon fee of HK3.5/sf total rental amounted 13,233/month
Lease was renewed in June 2007 at the rate of HK$20/sf Mgt and Aircon stay same at HK$3.5 total amounted HK$18847/month
June 2009 Chinachem informed us that the rate of rent will increase to HK$23/sf “take it or leave it with no possible negotiation
We proceed to plan for the moving and agreed to vacant the premises on August 18 2009
July 31st 2009 Chinachem issued a letter asking for the reinstatement for the premises to “Bare shell” condition.
Calls were made to the management office followed by fax communication stating to Chinachem that the office NOT renovated by us when we moved in on April 20th 2005. Renovation was done by the previous tenant (accordingly Hermes who now moved to 23rd floor) or might have been done by Chinachem.
Communication was ignored by Chinachem management. The request to arrange for a meeting between the managers of Chinachem was rejected by Gipsy Yung, leasing officer.
As a matter of fact, during the 4 years of tenancy with Chinachem Leighton Plaza, ALL the requests to meet with Mr. Yung’s superior (manager Tam) was never honored. Only ONE of the meeting was successfully arranged to meet at the headquarter of Chinachem in TST was with Mr. Yung only. During the meeting Mr. Yung firmly suggested that they have all the right to deduct the cost of reinstatement disregard all the reasons stated above. Unfortunately Mr. Tam is not available to join us in the meeting but “Feel free to take us in court” stated Mr. Yung.
I am not sure if Mr. Tam really exists. For the past 4 years I was never able to even talk to Mr. Tam. It seems like Mr. Yung is taking charges of the leasing department.
We moved out of the office on Aug 18th 2009 (see photos of the vacant office)
Sept 16th I received a letter from Chinachem’s solicitor Ford Kwan and Company (FKC). In brief they are returning my deposit net of HK$20600 Reinstatement Costs. (detail of the cost was absent from this letter)
October 9th 2009 I decide to take Chinachem into court to find the justice.


1。總面積802英尺 HK$13/英尺, 管理和空氣費 HK$3.5/sf. 租金總額HK$13,233 /月
2。租約於2007年6月再次續期. HK$20/sf. 管理和空調同為HK$3.5/sf總額HK$18,847/月
3。 2009年6月華懋告訴我們,租金率將增加至HK$23/sf “要么接受,要么遷出” 没有談判的可能
4。我們決定遷出,並同意于2009年8月18日交还空置店鋪
5.2009年7月31日華懋發出函件,要求恢復原狀至“裸殼=無裝修”的情况
6.我們立即致電管理辦公室解釋,然後,我們發了一份傳真,告訴華懋我們從來沒有在2005年4月20號遷入華懋时裝修过辦公室,我們提出更新工作裝修是由以前的租客 愛馬仕 所为 Hermes誰現在搬到23樓。 或整修工作由華懋本身所为
7華懋管理层忽視了我方的一切溝通. 我方請求安排管理人員之間的會議也被華懋一个租賃人員 容先生 所否決
8.事實上,在4年与華懋禮頓廣場的租約中,所有的請求會見容先生的經理 譚先生)從未兌現。4年中只有一個成功的會議安排,不幸的是譚先生最終沒有加入我們的會議, 在尖沙咀華懋總部接见的是只有容先生。會議期間,容先生堅定地認為,它們都有權扣除上述恢復原狀至“裸殼=無裝修”的费用。 ”容先生道“我們歡迎在法庭隨時起訴我们”
9.我不知道经理,谭先生,确实存在。过去4年里,我甚至连电话也没有能和谭先生有一次谈话. 容先生似乎是该办事处负责人. 他的头衔是租赁人员 (leasing officer)
10. 我们于2009年8月18日搬出了办公室,(附图)
11. 9月16日我们收到了由華懋集團的律師關福特公司(FKC)一封信,他們正式返回我的定金扣除HK20,600修復費用. 注意 HK$20,600詳細分類 一律欠
12. 2009年10月9日我决定向法院起诉华懋
Points to note:
Tenancy agreement was provided by Chinachem but the company signing the agreement was Coca investment Company Limited
The agreement drafted by FKC (Chinachem’s law firm) was about 60 pages and according to Chinachem, this is standard for everyone who wishes to lease their premises.
We were never informed by the property agency or by Chinachem that we were liable to reinstate the property to “bare shell” condition when we first sign the leasing in April 2005.
From the agreement: 3.44 Yield up and hand over? hand over together with the landlord’s fixtures and installations and other fixtures fitting and additions therein and thereto at the expiration or sooner determinations… THE FIXTURE AND ALTERNATION WAS THERE WHEN WE MOVED IN, SO WE JUST HAND BACK TO THE LANDLORD. HERE THE LEASE NEVER SAY ANYTHING ABOUT “EVEN THE FIXTURE WAS NOT FROM US WE HAVE TO DO A BARE SHELL REINSTATEMENT”
From the agreement: 3.02.02 Tenant’s fixtures?All fixture and fittings installed or affixed to the Premises or any part thereof by the Tenant during the term shall be deemed to be the Landlord’s fixture and fittings at the date they are affixed or installed in or on the premises unless the landlord expressly waives its right to the same… LOOK LIKE THE LANDLORD HAS RIGHT TO DO ANYTHING TO THE TENANT, A TYPICAL UNEQUAL CONTRACT.

注意事项:

1。华懋提供了租赁协议,但该公司签署协议的是由COCA投资有限公司
2。由FKC(华懋集团的律师事务所起草的协议)约60页,根据华懋意思,这是标准合同,谁愿意租用他们的地方,将签署这项协议,没有談判的可能
3.当我们签署租赁合同时,华懋从没有告诉我们,我们会有可能负责恢復原狀至“裸殼=無裝修”费用的条件
4从协议:3.44 Yield up and hand over承租人离开时:“移交与房东的装置和设施及其他装置和固定装置一起在到期日或提前确定其中的增加及其...” 我们只是退回办公室里原有无损坏的一切,协议中没有明确办公室租户负责恢復原狀至“裸殼=無裝修”费用的条件
5.从协议:3.02.02 Tenant’s fixture 租客装置: 所有装置及配件安装或贴在任期房舍或任何部分的租客应被视为在他们或在或贴在处所安装的日期是业主的装置及配件,除非房东明确放弃其权利,...看起来房东拥有一切权利,典型的不平等合同.
